1. Trial Overview
The Information Governance Trial (“Trial”) is provided for a period of ninety (90) days and is designed to demonstrate the capabilities of the RecordPoint platform within a limited, defined scope.
The Trial includes:
- Up to 2,000 transactions per day
- Access to Metadata Enrichment Services (MES) for the duration of the Trial
- Configuration of up to two (2) connectors:
- One primary content source
- One additional content source for enrichment purposes
2. Client Responsibilities
The Client agrees to:
- The Client will provide required information for onboarding and configuration in a timely manner
- Grant appropriate access to in-scope systems, including required permissions
- Ensure availability of relevant personnel, including IT and business stakeholders
- Manage internal change management, communications, and user engagement activities
- Conduct any required testing, with guidance provided by Grace/RecordPoint
- Obtain all necessary internal approvals (including CAB or equivalent governance processes)
Failure to meet these responsibilities may impact delivery timelines and outcomes.
3. Assumptions and Dependencies
The delivery of the Trial is subject to the following assumptions:
- The Client has appropriate understanding of their data sources and structures
- Required infrastructure, identity services (e.g. Entra ID), and test environments are available and maintained by the Client
- All services will be delivered remotely unless otherwise agreed in writing
- Any services outside the agreed scope will be subject to a formal change request and may incur additional costs
4. Delivery and Timeframes
- Grace/RecordPoint may require up to four (4) weeks from acceptance of the Trial to mobilise and commence delivery
- The Client will review and provide feedback on deliverables within five (5) business days unless otherwise agreed
- Where feedback or approval is not received within this timeframe, deliverables may be deemed accepted for the purpose of maintaining project progress
- Delays caused by the Client (including lack of access, resources, or approvals) may result in adjustments to delivery timelines
5. Suspension or Delay
Where the Trial is paused or delayed at the Client’s request:
- The parties will agree to a revised delivery schedule
- Grace/RecordPoint reserves the right to invoice for work completed and any resources allocated within thirty (30) days of the pause
6. Scope Limitations
The Trial is limited to the agreed systems, data sources, and transaction volumes.
Any extension of scope, including additional connectors, data sources, or services, will require mutual agreement and may be subject to additional fees.
7. Success Criteria
The Trial is intended to demonstrate measurable outcomes for selected data source repositories, including:
- Identification and classification of sensitive data (including PII and/or PCI) within at least one selected repository
- Identification of redundant, obsolete, or trivial (ROT) data
- Detection of duplicate or near-duplicate records
- Establishment of baseline data visibility and risk indicators
- Demonstration of governance capabilities, including classification and policy application
Achievement of these outcomes will form the basis for evaluating the success of the Trial.
8. Post-Trial Commercial Terms
Following completion of the Trial:
- The Client agrees to proceed to a paid subscription (minimum 12-month term) commencing in month four (4) post-trial period under applicable SME pricing
- Metadata Enrichment Services (MES) will be offered as an optional add-on (current list price applies)
- Continued use of the platform beyond the Trial period is subject to execution of a formal subscription agreement
9. General
- All services are subject to RecordPoint’s standard licensing and subscription terms
- Nothing in these Terms excludes or limits rights under applicable Australian Consumer Law
